1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Roam Resilient Expedition Vehicles Inc. (“RREV,” “we,” “us,” “our”), 400 Concar Dr, San Mateo, CA 94402. They govern your use of www.roamresilient.com, Spotty (our AI Rig Guide), RREV accounts created or used through the website, and related features and communications (the “Services”).

By accessing or using the Services, creating an account, or ticking a box that refers to these Terms, you agree to them and to our Privacy Policy. If you do not agree, do not use the Services. You must be at least 18 years old and able to form a binding contract. If you use the Services for a company, you confirm you are authorised to bind it, and “you” includes that company.

2. Purchases are governed by the Master Agreement

The purchase of any RREV vehicle, trailer, build, option or service is governed exclusively by the RREV Master Vehicle Build & Purchase Agreement and any quote or order document it incorporates (the “Master Agreement”), including its terms on deposits, payments, cancellation, changes, delivery, warranty and remedies. Nothing on the Services, including anything Spotty says, creates a purchase contract or changes the Master Agreement. If these Terms conflict with the Master Agreement on a purchase, the Master Agreement controls.

RREV OS, the software that runs your rig’s connected systems, and the RREV OS app, their licence, over-the-air updates and remote access are governed by sections 9 and 10 of the Master Agreement and summarised in the RREV OS Software License. Software updates and remote access need an internet connection, which you provide unless your Build Sheet includes one, and Remote Access + Spotty after the first year is subject to RREV’s published annual rate, which we may change and review each year. Local control and safety and security updates continue without it. Spotty Voice, whether bought once for the life of the rig or by monthly subscription, and what happens to upgrades and subscriptions when a rig is sold, are also governed by those sections. Upgrades bought for a rig belong to that rig; subscriptions belong to the owner and end when the rig is sold. See our Privacy Policy for how connected-rig data is handled.

3. Information, prices and specifications

We work to keep the Services accurate, but content is provided for general information. Prices, deposits, lead times, specifications, weights, features, options, availability, images, 3D models, floor plans and renderings are indicative, may contain errors, and may change at any time without notice. Images and models may show optional equipment or pre-production designs. No price, specification or statement on the Services is an offer to sell; a price or specification is confirmed only in a written quote and the Master Agreement. We may correct errors and refuse or cancel any request made at an incorrect price or on incorrect information, to the extent permitted by law.

Starting prices exclude taxes, registration, title, delivery, and any options, unless stated otherwise. Tools and calculators on the Services (such as fit, towing, solar and water estimates) give estimates only. Confirm towing capacity and compatibility with your vehicle manufacturer and a qualified professional; you remain responsible for safe towing and operation.

4. Spotty, our AI Rig Guide

Spotty is an artificial-intelligence assistant, not a person. It answers from our published information and our team’s answers, and it can pass your questions and details to our team. By using Spotty you understand and agree that:

• Spotty’s answers are generated automatically and may be incomplete, out of date or wrong. They are general information, not professional, engineering, safety, legal, tax, financial or insurance advice, and not a quote, offer, promise, warranty or guarantee.
• Nothing Spotty says binds RREV unless confirmed in writing by RREV in a quote or the Master Agreement. If Spotty’s answer differs from a written quote, the Master Agreement, a manual or a staff answer, the written document controls.
• For anything involving safety (for example gas, smoke, electrical faults, brakes, hitching or towing), stop using the equipment and follow the owner’s manual and a qualified professional. Do not rely on Spotty in an emergency; call emergency services.
• Your conversations are recorded and used as described in our Privacy Policy, including to follow up with you and to improve answers. Do not share sensitive information in a chat message. Passwords go only in Spotty’s secure sign-in and sign-up forms, which send them directly to our customer portal.
• You will not misuse Spotty, including by trying to make it ignore its instructions, reveal internal information, produce unlawful or harmful content, impersonate others, or collect other people’s information; by automated or bulk use; or by using it to send unwanted messages to others.
• Actions you confirm in Spotty (such as creating an account, filing a ticket, saving a draft build or submitting a build under the Master Agreement) are your own actions, taken by your tap or click, with the same effect as taking them in our customer portal.

We may change, limit, suspend or discontinue Spotty at any time.

5. Accounts

You may create or sign in to an RREV account through the website or our customer portal at rrev.shop. Accounts are also subject to any terms presented in the portal. You agree to give accurate, current information and keep it updated, keep your password confidential, not share your account, and tell us promptly of any unauthorised use at rr@roamresilient.com. You are responsible for activity under your account, except to the extent caused by our failure to take reasonable security measures. We may refuse, suspend or close accounts that breach these Terms or put the Services or others at risk.

6. Communications

You agree that we may communicate with you electronically, including by email and through the Services, and that electronic notices, agreements and records satisfy any requirement that they be in writing. Where you’ve agreed, we may send marketing emails; you can unsubscribe at any time using the link in the email or by replying “stop”. We will still send messages about your account, orders and support.

Text messaging. RREV texts people who have contacted us about a vehicle and agreed to receive texts, from our business number (650) 482-8609, to arrange calls, send information such as spec sheets, and schedule visits. Each text is sent by a member of our team; we do not send automated marketing blasts. You agree to receive texts only by telling us you do, for example when we ask on a call, and agreeing is never a condition of buying anything.

• Message frequency varies with your conversation with us.
• Message and data rates may apply.
• Reply STOP to any text to opt out; we will confirm and send nothing more unless you opt in again (for example by replying START).
• Reply HELP for help, or email rr@roamresilient.com.
• Mobile carriers are not liable for delayed or undelivered messages.

How we handle your number and consent is described in our Privacy Policy; we do not share your mobile number or text-messaging consent with third parties for their marketing.

7. Acceptable use

You will not: use the Services unlawfully or to infringe others’ rights; scrape, crawl or systematically extract data or content except through search engines’ ordinary indexing; attempt to gain unauthorised access to, probe, or disrupt the Services, accounts or our systems; bypass security, bot protection or rate limits; upload malware; interfere with other users; misrepresent your identity; use the Services to build a competing product; or use the Services in any way that could damage or overburden them. We may investigate and take any action we consider appropriate, including removing content, suspending access, and reporting to authorities.

8. Your content and feedback

You keep ownership of content you submit (such as messages, questions and photos). You grant RREV a worldwide, royalty-free, non-exclusive, perpetual licence to use, store, copy, adapt and display it to provide, support and improve the Services and our products, including to answer others’ questions without identifying you, as described in our Privacy Policy. If you send ideas, suggestions or feedback, we may use them without restriction or obligation to you. You confirm you have the rights to anything you submit and that it is not unlawful or harmful.

9. Intellectual property

The Services and their content, including text, designs, drawings, floor plans, 3D models, renderings, photographs, video, software, and the RREV, Roam Resilient, Spotty and model names and logos, are owned by or licensed to RREV and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for your personal, non-commercial use, including evaluating and purchasing RREV products. You may not copy, reproduce, modify, distribute, sell or create derivative works from them without our written permission, except downloading plans or spec sheets we offer for your personal use. All rights not expressly granted are reserved.

If you believe content on the Services infringes your copyright, send a notice with the details required by the Digital Millennium Copyright Act to rr@roamresilient.com.

10. Third-party services and links

The Services use and link to third-party services and websites that we do not control. Your use of them is at your own risk and subject to their terms. We are not responsible for their content, availability or practices.

11. Changes to the Services and these Terms

We may change, suspend or discontinue any part of the Services, including features, content, prices, specifications, options and models, at any time, with or without notice. We may also change these Terms at any time by posting the updated Terms on this page and updating the “Last updated” date; for material changes we will give additional notice where required by law. Changes take effect when posted unless we say otherwise, and apply going forward. Your continued use of the Services after a change means you accept the updated Terms. Changes to these Terms do not change a signed Master Agreement except as that agreement allows.

12. Suspension and termination

We may suspend or end your access to the Services at any time, with or without notice, including if you breach these Terms or we are required to by law. You may stop using the Services at any time. Sections that by their nature should survive termination (including 2, 3, 4, 8, 9, and 13 to 18) survive.

13. Disclaimers

THE SERVICES, INCLUDING SPOTTY AND ALL CONTENT, TOOLS AND INFORMATION, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, RREV DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY ANSWER, ESTIMATE OR CONTENT IS ACCURATE OR COMPLETE. PRODUCT WARRANTIES, IF ANY, ARE PROVIDED ONLY IN THE MASTER AGREEMENT AND RREV’S WRITTEN WARRANTY TERMS.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RREV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR ACCESS TO THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW, AND DOES NOT APPLY TO PURCHASES GOVERNED BY THE MASTER AGREEMENT, WHICH HAS ITS OWN TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

15. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless RREV and its affiliates, officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Services, your content, or your violation of any law or third-party right.

16. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at rr@roamresilient.com and try in good faith to resolve it informally for at least 30 days. Subject to that, any legal action must be brought exclusively in the state or federal courts located in San Francisco, California, and you and RREV consent to their personal jurisdiction. To the extent permitted by law, any claim must be brought within one (1) year after it arose, and claims may be brought only individually and not as a plaintiff or class member in any purported class or representative proceeding. Disputes about a purchase are resolved as the Master Agreement provides.

17. California notice

Under California Civil Code section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

18. General

These Terms, the Privacy Policy and any terms referenced in them are the entire agreement between you and RREV about the Services, and supersede prior agreements on that subject; the Master Agreement governs purchases. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including in a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, agency, employment or fiduciary relationship. Headings are for convenience only, and “including” means “including without limitation.”
